Our panel of experts will discuss the role of independent directors in restructurings. We will discuss the strategic benefits for key stakeholders in seeking the appointment of an independent director and the critical role they can play in assisting distressed companies and navigating a successful restructuring. We will consider the attributes of a successful independent director and the potential risks for directors in taking an appointment in the context of a contested restructuring.

Richard joined KPMG in 1983 and became a partner in 1997. His early years were spent in FS audit in London and Hong Kong and included a 2 year secondment to HSBC in its restructuring division. He specialises in financial sector insolvencies and restructurings particularly schemes and CVAs. He has lectured on complex financial instruments and sat for many years on the statutory Banking Liaison Panel set up to advise HMTreasuryon restructuring matters and has also advised the Bank of England. For several years he was chair of the Technical Committee of R3, the restructuring trade body and was KPMG Global Head of Restructuring. In 2017 he left KPMG and for 2 years served as CRO/director within the Steinhoff group. In 2020 he returned to KPMG in order to participate in the sale of the restructuring group of KPMG following which he joined Interpath. Since joining Interpath, he has acted as administrator for Simple Energy, the parent of Bulb Energy, and has taken various appointments and assignments largely in the financial sector.

Andrew is an interim executive and NED with 20+ years’ investment and restructuring experience across a broad range of sectors including Media, Finance, Manufacturing, Mining, Consumer and Real Estate.

Andrew spent 14 years at FTSE 100 asset manager Prudential M&G, where he was a portfolio manager in the private assets business and head of the restructuring and debt solutions team.

Andrew personally led 100+ restructurings for Prudential and M&G across a range of public and private assets classes. These restructurings ranged from small bi-lateral European private debt investments, to complex, multi-billion, multi-stakeholder international restructurings.

Andrew uses his strong analytical, communication and negotiation skills to help deliver solutions and is known for his resilience in complex and high-pressure situations. He has an LLB from UWA Law School and professional qualifications from Shanghai University of Politics & Law and the SRA and CFA in the UK.

Kay V. Morley is a partner in Dechert’s global financial restructuring group, advising stakeholders on all aspects of insolvency and corporate restructuring with a particular focus on European special situations and complex cross-border restructurings. Ms. Morley’s clients include hedge funds and other distressed investors, advising them on the acquisition of loan portfolios and the implementation of "loan to own" strategies. She also regularly provides advice to debtors in distress and private equity portfolio companies and represents insolvency practitioners in domestic and offshore situations.

Ms. Morley is consistently recommended by Chambers UK and The Legal 500 UK in corporate restructuring and insolvency, in addition to being recognized as a “notable practitioner” by the International Law Review. She is ranked in the 2022 edition of Chambers UK for restructuring/insolvency, with one client stating “Kay is remarkable. Marykay is a non-executive director and advisor, working in both the private and public sectors. She has 30 years of experience including an executive career in finance, asset management, and banking as well as operational and financial restructuring experience across multiple jurisdictions including the UK, USA, Europe, Scandinavia, Asia and South America. She was a Restructuring partner at KPMG UK until 2017. Marykay is also a Certified Insolvency and Restructuring Adviser ( CIRA) in the USA.

Since leaving KPMG she has built a portfolio of non-executive director positions which currently include;

TD Bidco, Audit committee ( ultimate parent of Tilbury Douglas, formerly Interserve)

GCP Asset Backed Income Fund (GABI) which is a closed end investment trust engaged in direct lending to companies in the UK, USA, Europe and Australia.

She was also a shareholder representative Director on the board of Southern Water until the ownership change in 2021.
